Terms of Service

These Terms of Service establish a fair and transparent relationship between Sabemos AI and our clients. We believe in mutual respect, clear expectations, and standing behind our work.

1. Agreement to Terms

By engaging Sabemos AI for services or using our website (sabemos.ai), you agree to these Terms of Service. These terms are designed to protect both parties and establish clear expectations for our working relationship.

2. Our Services

Sabemos AI provides AI consulting, strategy, and implementation services including AI strategy development, AI agent development, automation solutions, workshops, and transformation programs. Each engagement will be defined by a specific Statement of Work (SOW) or proposal that outlines scope, deliverables, timeline, and fees.

3. Our Commitments to You

When you work with Sabemos AI, we commit to:

  • Delivering work that meets professional industry standards for AI consulting and development
  • Providing clear, honest communication throughout your project
  • Meeting agreed-upon deadlines, or proactively communicating if adjustments are needed
  • Assigning qualified professionals with relevant expertise to your project
  • Protecting your confidential information with the same care we protect our own
  • Providing a 14-day remedy period after delivery to address any concerns about deliverables

4. Client Responsibilities

To ensure project success, clients agree to:

  • Provide accurate and complete information relevant to the project
  • Respond to requests for feedback or approvals within agreed timeframes
  • Designate a primary point of contact with decision-making authority
  • Provide reasonable access to systems, data, or personnel as needed for the project
  • Use our deliverables only for lawful business purposes

5. Intellectual Property & Ownership

We believe you should own what you pay for:

  • Client Data: You retain full ownership of all data, content, and materials you provide to us
  • Custom Deliverables: Upon full payment, you own all custom work product created specifically for your project, including code, documentation, and designs
  • Pre-existing Materials: We retain ownership of our pre-existing tools, frameworks, methodologies, and general knowledge, but grant you a perpetual license to use any such materials incorporated into your deliverables
  • Website Content: Content on sabemos.ai (text, graphics, logos) remains our property and may not be reproduced without permission

6. Confidentiality & Data Protection

We take confidentiality seriously. All client information shared during our engagement will be kept strictly confidential and will not be disclosed to third parties without your consent, except as required by law. We implement industry-standard security measures to protect your data. Upon project completion or termination, we will return or securely delete your confidential information upon request. Specific NDA terms can be established for projects requiring additional protection.

7. Payment Terms

Our standard payment terms are:

  • Proposals and SOWs will specify exact fees, payment schedules, and milestones
  • For most projects, we require a deposit (typically 30-50%) before work begins
  • Invoices are due within 14 days of receipt unless otherwise agreed
  • We accept bank transfer and major credit cards
  • If payment is overdue by more than 30 days, we may pause work until the account is current

8. Project Changes & Cancellation

We understand that needs evolve:

  • Scope Changes: Changes to project scope will be documented in a change order with adjusted timeline and fees as needed
  • Client Cancellation: You may cancel with 14 days written notice. You will be invoiced for work completed plus any non-recoverable costs
  • Our Cancellation: We may terminate if payment is overdue by 30+ days, or if continuing would require us to act unethically or illegally. We will provide reasonable notice and deliver any completed work
  • Refunds: If we fail to deliver agreed-upon work through our fault, you are entitled to a refund for undelivered portions

9. Satisfaction & Remedies

We stand behind our work. If deliverables do not meet the specifications outlined in your SOW, you have 14 days after delivery to notify us in writing. We will work with you in good faith to remedy the issue at no additional cost. If we cannot resolve the issue to reasonable satisfaction, you may be entitled to a partial or full refund for the affected deliverable. This remedy period does not apply to subjective preferences or changes to requirements after delivery.

10. Limitation of Liability

While we commit to professional-quality work, we want to be clear about liability limits. Our total liability for any claim arising from our services is limited to the fees you paid for the specific service in question. We are not liable for indirect, incidental, or consequential damages (such as lost profits or business interruption) except in cases of gross negligence or willful misconduct on our part. These limitations do not apply to breaches of confidentiality or intellectual property infringement.

11. Realistic Expectations

AI technology is powerful but not magic. While we commit to delivering quality work using industry best practices, we cannot guarantee specific business outcomes (such as revenue increases or cost savings) as these depend on many factors beyond our control, including implementation, market conditions, and organizational adoption. We will be honest about what AI can and cannot do for your specific situation.

12. Dispute Resolution

If a dispute arises, we commit to attempting good-faith resolution before any formal proceedings. Either party may request a meeting (in person or video) to discuss concerns within 30 days of the issue arising. If we cannot resolve the matter directly, we agree to attempt mediation before pursuing arbitration or litigation. This approach has resolved every dispute we've encountered and we believe it protects both parties better than adversarial proceedings.

13. Governing Law

These Terms are governed by the laws of Spain. For EU clients, nothing in these terms affects your statutory rights under EU consumer protection laws. For international clients, we are happy to discuss jurisdiction preferences in your service agreement.

14. Changes to Terms

We may update these Terms to reflect changes in our practices or legal requirements. Material changes will be communicated via email to active clients at least 30 days before taking effect. Your continued use of our services after changes take effect constitutes acceptance. You may terminate our relationship if you do not agree with updated terms.
